9. Governing Law, Disputes & Venue
These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods, the Uniform Commercial Code (to the extent disclaimable), and INCOTERMS do not apply. Venue. Any controversy or claim arising out of or relating to these Terms, including any question of interpretation or breach, shall be resolved exclusively in a court of competent jurisdiction located in Davidson County, Tennessee.
